Job overview

The Deputy Company Secretary will be responsible for ensuring that the Trust complies with statutory and future regulatory framework requirements.

The post holder will support the Director of Corporate Affairs through line management of the Company Secretary team and by establishing effective systems and processes to support the Trust Board, Council of Governors and associated meetings.

The post holder will support the Board of Directors and Council of Governors to establish and maintain high standards of corporate governance, including adherence to the Foundation Trust Code of Governance and other best practice guidance.

Main duties of the job

The role includes supporting the establishment of any social enterprise or limited companies established by the Trust and helping to ensure each organisation meets legal and statutory requirements.

A significant proportion of working time will be spent co-ordinating and participating in meetings and preparing and reviewing complex reports and documents for the Trust Board, Council of Governors and other bodies. The post holder will interact with all levels of the organisation, act as an external communication bridge, maintain a high level of confidentiality and manage multiple deadlines and competing pressures while maintaining agreed standards

Qualifications

Essential criteria
  • Master’s degree in relevant subject or equivalent knowledge and experience.
  • Appropriate management and/or postgraduate qualification.

Experience

Essential criteria
  • Experience of working within a company secretary team of an NHS organisation.
  • Experience of working with Boards and Governors.
  • Experience writing high-level briefing papers/reports and papers for Board meetings.

Knowledge

Essential criteria
  • NHS governance frameworks.
  • Risk management frameworks.

Skills and Abilities

Essential criteria
  • Excellent project management and organisational skills.
  • Attention to detail in composing, typing and proofing materials, establishing priorities and flagging items.
  • Ability to work in a complex environment.
