Job overview
The Governance Manager plays a key role in supporting the effective operation of Corporate Governance within QE Facilities Limited (QEF). Working closely with the Head of Corporate Services, and the Senior Leadership Team, the post holder will provide professional and efficient governance and secretariat support services to the Board of Directors (Board) and its Committees and Groups, ensuring the delivery of sound corporate governance and the effective and efficient coordination of the flow of business, driving continuous improvement in governance standards, compliance, and organisational accountability.
Main duties of the job
Strategic Secretariat and Governance Support
· Lead and manage the full corporate meeting cycle for the Board, Committees, and Groups, in line with QEF’s governance framework and statutory obligations.
· Develop and maintain an annual agenda planning cycle to support forward planning, effective workflow, timely reporting, and compliance with internal and external governance expectations.
· Provide expert governance advice to Board and Committee Chairs, Senior Leaders, and report authors to ensure high-quality papers, reporting standards, and consistent governance practice.
Corporate Governance Framework and Assurance
· Support the Head of Corporate Services in maintaining, enhancing, and embedding QEF’s governance frameworks, corporate registers, and key governance documentation.
· Develop, review, and implement governance policies, Terms of Reference, and corporate procedures, ensuring alignment with best practice, NHS expectations, and legislative requirements.
Operational and Team Support
· Oversee planning and management of corporate meetings and governance-related events, including venue coordination, logistics and senior stakeholder engagement.
· Produce high-quality reports, presentations, dashboards and governance documentation using advanced IT skills and relevant systems.

QE Facilities (QEF) is a wholly owned subsidiary company of Gateshead Health NHS Foundation Trust (GHNT), based in the North East of England.
We provide a range of non- clinical services to GHNT and other NHS organisations. Our services include: estates, facilities services, procurement, medical engineering and devices, endoscopy decontamination and sterile services, transport, out-patient pharmacy, and prevention & management of violence & aggression training (PMVA).
In addition we provide consultancy services, advising clients on all aspects of establishing a subsidiary company within an NHS body to the provision of VAT compliance advice.
QE Facilities work to their own Terms and Conditions and these are not the same as Gateshead Health NHS Foundation Trust Terms and Conditions. This is not an Agenda for Change Pay Rate.

It is expected that the post holder will have a high degree of professional judgement and will be able to meet the demands of the role, operating autonomously while managing competing priorities through prioritising workload to meet deadlines, coordinating complex requirements to meet objectives, maintaining flexibility, and adapting to changing circumstances and demands, whilst adhering to confidentiality. The post holder will coordinate complex governance requirements, ensure the integrity of decision-making processes, and safeguard confidential and sensitive information at all times.

Essential criteria
- Strong understanding of corporate governance principles
- Exceptional organisational and planning skills, with the ability to manage high volumes of work and competing deadlines.
Desirable criteria
- Knowledge of NHS governance
Experience
Essential criteria
- Significant experience providing senior-level secretariat and governance support to Boards or Committees, preferably within a complex or regulated environment.
